Talked to Caracristi today about HHH. She had somebody for 5 weeks earlier this year (she sent us I9) but the
person left because she got a full-time job. The only other person she had was more than ten years ago. Part-time
and was legal. Paid SS. No worries as far as hhh.

Criticism of Report Appraising U.S. Intelligence
In September 1996, an article in the BULLETIN OF THE-ATOMIC SCIENTISTS
criticized the work of a blue ribbon panel, of which Ms. Caracristi was a member, that
had been established by Congress to reexamine the roles and missions of U.S.
intelligence. The Commission on Roles and Capabilities of the United States
Intelligence Community was created in 1994, reportedly during a time of intense
Congressional criticism of the Central Intelligence Agency and amid calls for radical
reform of the U.S. intelligence apparatus. However, according to the article, "the
conunission was packed with intelligence community professionals," including Ms.
Caracristi, and "the intelligence community dug in its heels" against real reforms. The
article concluded that "[t]hese former CIA, NSA, and NRO professionals [were]
immersed in the culture of intelligence and were little disposed to question traditional
roles and missions." While there is no specific criticism of Ms. Caracristi, the
commission was criticized for failing "to provide guidance on the most central of the
issues it was created to examine."
Aside from the above, a limited review of the available public record revealed
no information that might bear negatively on Ms. Caracristi's candidacy, generate
controversy, or disqualify her from continuing to .serve on the PFIAB. ·

Candidate for Member of the
Presidential Foreign Intelligence Advisory Board
Ann Caracristi, 72, is a cryptology expert and career intelligence officer who retired
in 1981 as Deputy Director of the National Security Agency.
Ms. Caracristi is a graduate of Russell Sage College and of the Federal Executive
Institute. There is scant information in the public record about her forty-year career at the
highly secretive N.S.A., although it was reJ)orted that her 1980 appointment as Deputy
Director made her the highest-ranking woman intelligence officer in the world. The
Washington Post reported in 1978 that she was one of ten federal bureaucrats honored that
year for outstanding career service by the National Civil Service League.

Ms. Caracristi currently serves as a consultant to the N.S.A. Scientific Advisory
Board and as a member of the Board of Visitors of the Defense Language Institute Foreign
Language Center, and she recently chaired the Director of Central Intelligence's Task Force
on Intelligence Community Training. She is also past President of the Association of
Former Intelligence Officers and a member of the Defense and Space Advisory Council of
Ultrasystems, Inc., an Irvine, California-based defense contractor.
In 1981, Ms. Caracristi testified, along with then-Director of.Central Intelligence
William J. Casey, in favor of legislation further exempting the intelligence community from
the reach of the Freedom of Information Act, in hearings before the Subcommittee on the
Constitution of the Senate Judiciary Committee. Ms. Caracristi explained that although the
N.S.A. had not yet lost a lawsuit under the FOIA, the very process of defending such a suit
required disclosure of top-secret information to individuals with "no need to know." One
year earlier, Ms. Caracristi testified before House and Senate committees in support of
legislation creating a "Senior Cryptologic Executive Service," modeled on the Senior
Executive Service, to recognize top civil servants in the N.S.A.
A review of the public record does not reveal any information that bears negatively
on Ms. Caracristi 's ability to serve on the Foreign Intelligence Advisory Board.

SUMMARY:
I agree with the Mr. Eugene Yeats, Executive Director
of PFIAB that no conflict of interest or appearance
issues exist that cannot be resolved with the usual
procedures of resignation from affiliates and. recus~l,
waiver, or divestiture related to financial interests.
Thus, assuming that all other background checks prove
positive, I recommend that the processing of this
nomination proceed.
DISCUSSION:
I reviewed Ms. caracristi's SF-450 with Mr. Eugene Yeats,
Executive Director of PFIAB.
1. Purpose of PFIAB and § 208 considerations:
The purpose of the PFIAB is to "assess the quality, quantity, and
adequacy of intelligence collection, of analysis and estimates,
of counterintelligence and other intelligence activities of all
agencies of the Federal Government. The Board reports directly
to the President and advises him concerning the objectives,
conduct, management, and coordination of the various activities
of the intelligence community.

Thus, the Board's responsibility is to consider broad policy
issues and to make recommendations to the President concerning
these broad policy matters. It does not normally deal with
particular matters involving specific parties. The Board does
not promulgate regulations; it does not award Government grants
or contracts; it does not administer Government programs. Thus,
the conflict of interest concerns of 18 u.s.c. § 208 rarely, if
ever, arise for Board members in the course of their official
duties. In cases where particular matters may come before the

Board, the Executive Director for the Board reviews tre financial
interest records of Board Members in order to advise t~~
of any need for recusing themselves from participatior ~~~~
matters before the Board. This has been the usual pr

the Board in the past. The incoming Board plans to memorialize
this practice by establishing a written ethics review process for
Board members .

2. Potential conflict or appearance problems:
The potential for a conflict or appearance problem for Board
members arises when its intelligence oversight activities must
deal with particular matters, for example, telecommunication
activities in intelligence gathering, computer hardware and
software applications in intelligence analysis, or business
support services for intelligence gathering agencies, etc. This
list is illustrative, not exhaustive. In such settings,
financial interests in phone and telecommunications companies, in
computer hardware and software companies, or statistical or
analytic survey companies, could become particular matters that
are reviewed by the Board for inclusion in the recommendations
forwarded to the President for action. As stated above, the
Executive Director for the Board, would notify any Board members
who have a potential conflict or appearance problem and determine
the need for a recusal on that matter.
3. Applications of Conflict of Interest and other rules to Board
Members:
Since the Board members ~special Government employees (i.e.,
they provide their services to the Board for less than 130 days
in a calendar year, the requirements of title 18 of the United
States Code are not as restrictive for them. Nonetheless, even
if granted a general 208(b) (3) waiver, Board Members may not
participate in particular matters involving specific parties in
which a Member is personally and substantially involved during
his/her government service. Members are precluded from receiving
compensation for representational services ( 18 U.S.C. § 203).
Members will be prohibited from acting as an agent or attorney
for a private party (18 U.S.C. § 205). Following Government
service, Members will be barred from representing any other party
before the United States (18 U.S.C. § 207(a)). [ FTS needs to
check this last item.] In addition, Members, as special
Government employees, are not subject to § 209 regarding salary
supplementation. They are only subject to the Hatch Act for 24
hours on any day they serve as special Government employees.
However, such employees are covered by 18 U.S.C. § 219 rules
governing foreign agent registration, unless the President would
certify that a member's service was needed "in the national
interest." ,Such certification has been opposed by the Office of
Legal Counsel in DOJ in past administrations.

During the Bush Administration, Board Members were gi e
general 208(b) (3) waiver by the Counsel to the Presid~~~~~~
the delegated authority of Executive Order 12674 § 402. This
waiver states that the services of Board Members outweighs the
potential for conflict of interest created by the financial
interests disclosed by the Members (and attached to the waiver
request).
The rationale for the waiver is that it is not clear which, if
any, particular matters in which the Members would participate
would have a direct and predictable effect on their outside
interests or associations. The agenda for the Board is not
predictable. They may be faced with particular matters which may
be found later to have a direct and predictable effect on an
entity in which they have a financial interest.
Such a waiver was granted by the c. Boyden Gray to six new
members of the Board on April 16, 1990.
5. Recusal requirements for Board Members still required:
Even though Board Members receive a general 208(b) (3) waiver,
they are still required to recuse themselves from particular
matters involving specific parties in which one of the actual
parties is an entity in which they have a financial interest.
The Board's Executive Director monitors this process.
6. Ann caracristi's Interests:
Based on the analysis above, Ms. Caracristi has a couple
financial interests that might, at some time, become a particular
matter through the Board's deliberations and recommendations.
There are AT&T and GTE because they are in telecommunications.
However, these interests, like the others on her SF-450, are not
currently likely to become particular matters before the Board
and even less likely to become specific parties. Thus, the
waiver processes coupled with an ethics training session for all
Board Members and the operation of the Board's recusal monitoring
practices should resolve any future § 208 and 502 questions.
Ms. Caracristi along with a listing of her interests and
associations will be included in a general waiver request for all
Board Members to be submitted to the Counsel to the President for
approval.
Based on all these circumstances, I recommend that Ms.
Caracristi's appointment continue though the approval process.

Scope and Content
The materials in FOIA 2006-1007-F are a selective body of documents responsive to the topic of the

Ann Z. Caracristi was appointed to the President’s Foreign Intelligence Advisory Board (PFIAB) on
September 30, 1993. President Clinton retained Caracristi on the Board through his administration.
Caracristi was a sitting member of the Intelligence Oversight Board and in 1999, assisted with the
research and publication of the PFIAB report on security at Department of Energy weapons labs,
Science at its Best, Security at its Worst. Caracristi last served on the Board of Visitors for the Joint
Military Intelligence College and the NSA Scientific Board.
Ann Caracristi served a distinguished career in the intelligence field. She began her career in 1942
working as a cryptanalyst with the Army Signal Intelligence Service. Her work on Imperial Japanese
Army communications quickly led to promotions to cryptanalysis and to supervision. In 1949, the

�Army Signal Intelligence Service became part of the newly created Armed Forces Security Agency
(AFSA). President Harry S. Truman created the National Security Agency (NSA) in 1952, combining
and enhancing the intelligence duties of what was the AFSA. The National Security Administration
credits Caracristi with pioneering the use of computers in cytological analysis. She also is credited with
establishing the first laboratory devoted to studying communications phenomena.
Caracristi’s expertise and professionalism led to rapid advancement to the administrative ranks of the
NSA. In 1980, she was named Deputy Director of the NSA; the first woman to hold that position. That
year she was also awarded the Department of Defense Distinguished Civilian Service Award. She
retired from the NSA in 1982 after serving forty years in the intelligence field. After retirement
Caracristi remained active in the U.S. intelligence community. She was Chair of the Director of Central
Intelligence Task Force on intelligence community training. She served on the Director of Central
Intelligence/Secretary of Defense Joint Security Commission. Caracristi also served as a member of the
Aspin/Brown Commission on the Roles and Capabilities of the Intelligence Community.
The President’s Foreign Intelligence Advisory Board was created by President Dwight Eisenhower in
1956. Executive Order 10656, signed February 6, 1956, created the President’s Board of Consultants on
Foreign Intelligence Activities. Eisenhower believed that this board of respected and knowledgeable
citizens could provide him with unbiased and candid appraisals of United States’ intelligence activities.
President John Kennedy, by the signing of Executive Order 10938 on May 4, 1961, renamed the Board
of Consultants, the President’s Foreign Intelligence Advisory Board. Though the name was changed,
the board continued to operate in much the same fashion.
Executive Order 11460, signed by President Richard Nixon on March 20, 1969, again changed the name
of the PFIAB to the President’s Advisory Intelligence Board. President Jimmy Carter abolished the
board in March of 1977. Carter did however, retain the Intelligence Oversight Board. The IOB was
created by President Gerald Ford in 1976 following a post Watergate investigation by Congress into
potential illegal activities of the intelligence agencies. The IOB was tasked with reporting potential
illegal activities to the Department of Justice for review. As Ford told Congress in 1976, “I believe [the
changes] will eliminate abuses and questionable activities on the part of the foreign intelligence agencies
while at the same time allowing them to get on with their vital work of gathering and assessing
information.”
President Ronald Reagan modified the role of the IOB in 1981 and re-established the PFIAB in 1985 by
signing Executive Order 12537. President William Jefferson Clinton combined the IOB and the PFIAB,
making the IOB a committee rather than an independent organization. President George W. Bush
radically modified the role of both the IOB and the PFIAB following the creation of a Director of
National Intelligence. The newly named President’s Intelligence Advisory Board was designated to
oversee the intelligence collection activities of any Federal agency engaged in the collection of
intelligence or the production of intelligence policy. President Barak Obama more clearly defined the
role of the PIAB and strengthened the IOB with the passage of Executive Order 13516.
Under President Clinton the PFIAB had between eleven and twelve members, by law it could be no
more than sixteen, whose terms were established by the President. Members were chosen for their
independence, knowledge, and experience. The members of the President’s Intelligence Advisory
Board serve as unpaid observers of United States intelligence community. Much of their work is highly
secret in nature though Presidents have chosen on occasion to make the Board’s reports, or portions
thereof, public. The members of the Board are appointed by the President and the Director serves at the
leisure of the President.

�Clinton Presidential Records relating to Ann Caracristi and her service on the PFIAB consist of emails,
memorandum, and administrative paperwork. Many of the records produced for this FOIA were from
personnel files which resulted in many closures related to personal privacy. Also the nature of the work
undertaken by PFIAB resulted in many records closed for national security reasons.
System of Arrangement
Records that are responsive to this FOIA request were found in these collection areas — Clinton
Presidential Records: WHORM: Subject File, Clinton Presidential Records: White House Staff and
Office Files, Clinton Presidential Records: ARMS Emails, Clinton Predsidential Records: TRP Emails,
and Clinton Presidential Records: NSC Cable, NSC Email, and NSC Records Management System.
The White House Office of Records Management (WHORM) contains a variety of series created to
organize and track documents and correspondence. The WHORM Subject File was compiled by the
White House Office of Records Management and is a series of categories designated by a letter/number
combination.
White House Staff and Office Files were maintained at the folder level by staff members within their
individual offices and documents all levels of administration activity.
WHORM files are processed at the document level; whereas, Staff and Office Files are processed at the
folder level, that is, individual documents are not selected and removed from a folder for processing.
While this method maintains folder integrity, it frequently results in the incidental processing of
documents that are not wholly responsive to the subject area.
The Automated Records Management System (ARMS) is a database that contains email records of the
Executive Office of the President. This system maintained unclassified Presidential Records email. The
ARMS dataset is comprised of 6 sub-series of email records called “Buckets.” The buckets include
NPR, OPD, POTUS, WHO, CEA, and Default. ARMS emails are arranged chronologically by creation
date.
The Tape Restoration Project (TRP) is a database consisting of restored emails from the Automated
Records Management System from July 1994 through June 2000. The TRP is a database that contains
email records of the Executive Office of the President. This system maintained unclassified presidential
record email. The TRP dataset is comprised of 6 sub-series of email records called “Buckets.” The
buckets include NPR, OPD, POTUS, WHO, CEA, and Default. TRP emails are arranged
chronologically by creation date.
